What are all the possible forms of business companies in the Republic of Serbia? What is needed to establish/register a company? How long does the procedure take? Is it possible to establish a company with a virtual headquarters in Serbia?

When we talk about establishing a company in Serbia, we would first say that companies are registered in the Agency for Business Registers, based on the Law on Business Companies and the Law on the Procedure for Registration in the Agency for Business Registers. The aforementioned laws prescribe the conditions and procedure of establishment. When choosing the form of a legal entity, you should take into account the type of work you want to do in Serbia. The Law on Business Companies of the Republic of Serbia recognizes four legal forms of business companies, and foresees an entrepreneur as a form of activity. Forms of business companies provided for by domestic legislation are:
• Partnerships
• Limited partnership
• A limited liability company
• Stock company
A limited liability company is the most common form of company that most clients option for, because it covers a large number of activities that you can engage in. When establishing a company, the client is free to choose a business company name (if there is no registered company with the same name or other restrictions provided by the registrar – e.g. someone else’s personal name, ), and the business name itself refers to the name, legal form and the place where the headquarters of the company is located and can also be in a foreign language (example: company doo, Belgrade).
The minimum company capital that must be entered is 100 dinars. The origin of the company’s capital must be transparent, which is done through the mandatory registration of the real owners within 15 days from the day of the company’s foundation. It should be noted that the contribution can be monetary or non-monetary (for example, real estate can be entered as a contribution).
